These terms (the Client-Creator Agreement) govern each transaction and interaction for Creator Services between a Client and a Creator on the Bespire platform. The only parties to the Client-Creator Agreement are the Client and the Creator.
Bespire Ltd. (the Company) provides the technology platform only and is not a party to the Client-Creator Agreement. Use of the Bespire platform is governed separately by the Bespire Platform Terms between the User and the Company.
Bespire is a limited company registered in England and Wales, with company registration number 16404924 and registered office address at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. These terms govern your access to and use of Bespire, and any content (video, sound, text, graphics, or other materials sent, received, stored or otherwise appearing in the Service, collectively referred to as Content). Parts of the Service may display Content that is not Bespire's (User Content). Such content is the sole responsibility of the person or entity that has made it available. When Content is used in this document, it refers to both content provided by Bespire and User Content collectively, unless otherwise specified.
By registering for, accessing and/or using Bespire and/or any part of the Service, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing Bespire or any part of the Service. The materials contained in Bespire are protected by applicable copyright and trademark law.
Bespire Ltd. may revise these terms of service at any time without notice. By using Bespire you are agreeing to be bound by such revisions or modifications. You are responsible for reviewing these Terms periodically. Your continued use of the Services after the effective date of the change or modification of these Terms will constitute your acceptance of the revised Terms. If you don't agree to the new Terms, you must stop using your account before they take effect, and inform Bespire (support@bespire.io) to delete your account, otherwise the use of the Service and Content will be subject to the new Terms.
You declare that by acceptance of these Terms and/or by using the Services you are at least 18 or older. You may not use Bespire and may not accept these Terms if you are a person barred from using Bespire or providing the Services under the laws of the country in which you are resident or from which you use Bespire.
Bespire offers a service that allows Clients to connect with and pay Creators for interaction (Creator Services). Creator Services are not provided, delivered, owned, controlled, created, managed, or vetted by Bespire, and Creators are fully responsible for their content and Creator Services. Any and all Creator Services transactions between the Creator and the Client are limited to these two parties. Bespire is not a party in the transaction between Creators and Clients (collectively Users), and is not acting as an agent to any party, except for capturing Service Fees (payment facilitation agent). Bespire does not have any control over and does not endorse any Creator Services. Creators are the merchant of record (seller of record) for Creator Services. Creators contract directly with Clients and are solely responsible for: (i) setting prices (including any taxes), (ii) issuing invoices/receipts and fulfilling statutory information requirements, and (iii) determining, collecting, reporting, and remitting any applicable taxes (including VAT/Sales Tax) arising from Creator Services.
Bespire is not the seller of record of Creator Services and does not assume any tax or invoicing obligations for Creator Services. Bespire acts only as a technology platform and payment facilitation agent and is not a party to the transaction between Creator and Client.
A Bespire account enables you to use the Service as a Creator, to provide Creator Services, or as a Client, to seek Creator Services. Bespire does not vet, verify, or endorse any Users, their identity, truthfulness or trustworthiness, or any content or information uploaded or created by Users (User Content).
You declare that by using Bespire you agree that any part of the Service can be changed, modified, or discontinued without notice and for any reason, without liability of any kind to Bespire.
Bespire may handle the Client transaction and collect payment on the Creators' behalf, but does not issue tax invoices or tax receipts directly to the Clients for Creator Services. Where Bespire provides invoicing tools, support for invoicing or payment confirmations, such documents are generated on behalf of the Creator and do not constitute invoices issued by Bespire or tax advice given by Bespire. The Creators receive payouts from the platform as described in the document in detail.
For any content you upload, submit, stream or post through Bespire, you retain your rights. You are responsible for any information, data, video, audio, graphics, links, text, or content you upload to Bespire, and for its compliance with the law and these Terms. As a Creator, you are solely and fully responsible for the content you create or upload and for providing Creator Services to Clients.
We do not endorse any content expressed via the Service. We do not guarantee its accuracy, reliability, or truthfulness. Bespire will not be liable for any User Content, or any damage or loss of any kind caused by the use of User Content created, uploaded, displayed, or distributed via Bespire. You understand and agree that by using Bespire you might be exposed to content that might be inaccurate, offensive, mislabelled or in any other way inappropriate or containing errors. You acknowledge that Bespire does not pre-screen content.
We reserve the right to access, read, edit, remove or disclose any content as we determine necessary to comply with any applicable regulation, law, or legal process, investigate any potential violations or enforce these Terms, investigate and address any security or technical issues, address fraud, answer user support inquiries, or protect our, our users', or public safety, to protect our rights and property. Bespire reserves the right to remove or restrict access to any content that is not accurate, contains unauthorized disclosure of personal information, violates these terms or any applicable law, or is otherwise objectionable at its sole discretion.
Other prohibited activity, content or service includes, without limitation:
You shall not use Bespire in any way for sharing, posting, uploading, or making available in any other way any Prohibited Content or Service. You shall not use Bespire for any unlawful activities not otherwise mentioned in these Terms. You shall not impersonate anyone else when using Bespire or engaging in any of its Services.
You agree that any content you upload to Bespire follows any applicable law, including but not limited to data protection laws and privacy laws.
Please report such content by sending an email to support@bespire.io with a link to the content.
By using Bespire you agree to receive communication from Bespire via email, SMS, or other. Such communication includes but is not limited to administrative messages and announcements, reminders, updates, and other information about the Service. It may include promotional material.
By making an order or signing up via an email form from a Creator on Bespire, you agree to receive communications from them. You can always opt out from communication by following the Unsubscribe link in any email.
Bespire processes personal data in connection with providing the Service. Our Privacy Policy (available on our website) describes how we collect, use, share, and protect personal data, including information about cookies, retention, and your rights.
Creators may collect and process personal data about Clients in connection with Creator Services (for example, bookings, communications, and fulfillment). In such cases, the Creator is responsible as an independent controller for complying with applicable data protection laws (including GDPR), including providing appropriate privacy notices to Clients.
We use third-party service providers (such as payment processors) to help operate the Service. Where we share personal data with such providers, we do so in accordance with our Privacy Policy and applicable law.
Creators have the ability to set the prices displayed to Clients for any Service or Content offered on Bespire. Creator acknowledges and agrees that Bespire is entitled to process the Customer payment when Creators choose to receive payment online. In this case, prior to paying the Creator, Bespire shall retain a payment processing fee (Transaction fee) of the Gross Revenues. Gross Revenues means all revenue received by Bespire from a Client. Net payout = Gross Revenue - Transaction fee - refunds/chargebacks/reversals (if applicable).
The Creator will provide the Creator Services as described in the Listing and in accordance with any agreed schedule.
For bookings or sessions, the Client is responsible for attending on time and meeting any stated prerequisites (for example, equipment, connectivity, forms, or consent). If the Client arrives late, misses an appointment (no-show), or requests to reschedule, the Creator's rescheduling/no-show policy stated in the Listing will apply. If the Listing does not specify a policy, the Creator may treat a no-show as a cancellation without refund, subject to applicable law.
For digital content or deliverables, access and delivery timing will be as stated in the Listing. The Client acknowledges that digital content may be delivered immediately upon purchase unless stated otherwise.
Refunds and cancellations for Creator Services are determined by the Creator and described in the Listing, subject to applicable law and any statutory rights of Clients. Where the Platform supports refund requests, the Client may submit a refund request to the Creator through the Platform or via the contact method provided by the Creator. The Creator is solely responsible for reviewing, accepting, or rejecting refund requests and communicating the outcome to the Client.
Where available, Bespire may facilitate an approved refund on behalf of the Creator by returning the relevant amount to the Client using the original payment method. Bespire's platform fees (if any) are non-refundable except where required by applicable law or explicitly stated otherwise.
Chargebacks, payment disputes, reversals, and similar claims initiated by a Client's bank or payment method provider may result in funds being debited from amounts collected on behalf of the Creator and/or the Creator's payout balance. The Client should contact the Creator first to attempt to resolve disputes before initiating a chargeback, where reasonably possible.
If the Client is a Consumer and applicable law provides a right of withdrawal or cancellation, that right may be affected where the Client requests immediate performance (for example, immediate access to digital content or immediate commencement of a booked service). Any such effects will be determined by applicable law and the Creator's disclosures in the Listing. Nothing in this Agreement limits or excludes mandatory Consumer rights that cannot be limited or excluded under applicable law.
As part of the Service, the Creator grants a Client Licence. The Client Licence permits a Client to access the Relevant Service or Content. The Client Licence does not grant any Client ownership rights to the Relevant Service or Content. The Client Licence is non-transferable, non-sublicensable, and non-exclusive rights each Creator grants to Relevant Content or Service.
Bespire does not guarantee that the Service will be free from errors, security vulnerabilities, defects, or that the Service will run without interruptions. You agree to use Bespire at your own risk, and acknowledge that Bespire does not provide any warranty. You acknowledge that Bespire does not guarantee security of the Service or communications done via the Service, and that the risks associated with it are at your own responsibility.
Bespire will not be liable for any loss or damages (including, but not limited to incidental, consequential, or indirect damages, loss of business profits or opportunities, loss of information or data) under any legal theory, or arising, without limitations, out of contract, negligence, tort, warranty, or otherwise.
The communications between you and Bespire may take place via electronic means, whether you visit the Services or send Bespire e-mails, or whether Bespire posts notices on the Services or communicates with you via e-mail. For contractual purposes, you: (a) consent to receive communications from us in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing.
These Terms of Service, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without our prior written consent, and any attempted assignment, subcontract, delegation or transfer in violation of the foregoing will be null and void.
Parties shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, pandemics, epidemics, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
Both you and we agree that all claims and disputes arising out of or relating to these Terms of Service will be to the non-exclusive jurisdiction of England and Wales.
The Creator may specify governing law and jurisdiction in the Listing. If not specified, this Agreement is governed by the laws of the country where the Creator is established or resident, and the courts of that country will have jurisdiction, subject to any mandatory Consumer protection rules that provide the Client with rights in their country of residence.
Otherwise, the Terms of Service and any action related thereto will be governed and interpreted by and under the laws of England and Wales. You acknowledge that the Platform is controlled in and originates from the United Kingdom. We make no claims that the Platform or any of the Content is accessible or appropriate outside of the United Kingdom. Access to the Platform may not be legal by certain persons or in certain countries. If you choose to access the Platform from outside the United Kingdom, you do so on your own initiative, at your own risk, and you are responsible for compliance with applicable local laws.
Before starting formal proceedings, the Client and Creator agree to make reasonable efforts to resolve disputes directly through good-faith communication.
It is the express wish of the parties that these Terms of Service and all related documents have been drawn up in English.
Where Bespire requires that you provide an e-mail address, you are responsible for providing us with your most current e-mail address. In the event that the last e-mail address you provided to us is not valid, or for any reason is not capable of delivering to you any notices required/permitted by these Terms of Service, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice. You may give notice to us at support@bespire.io.
If any section of this Agreement is found to be invalid, illegal, or unenforceable for any reason, the rest of the Agreement will remain valid and will be interpreted as if the invalid, illegal, or unenforceable portion was never included.
Bespire reserves the right to observe or investigate any Creator activity and usage of Bespire's products or services at any time to verify adherence to this Agreement or the Bespire Policies, though we are not obligated to do so. Our final judgement as to whether a violation of these terms has taken place will be binding, and any action taken to enforce this Agreement or any other terms, including no action at all, is solely our decision.
You may contact us at support@bespire.io in order to stop using Bespire and delete your account, and you can do it at any time. Bespire reserves the right to terminate your account and these Terms at any time and with immediate effect. You agree that Bespire does not need to provide you with a notice before terminating your account. From the moment of termination, you shall have no further right to use the Service or any content in it. Bespire shall not be liable to any compensation, refunds, reimbursements, or compensation of expected returns upon termination of the account. You shall not be entitled to any refunds if you breach these terms.
